1. Agreement to Terms

Welcome to RAAV! These Terms of Service ("Terms") govern your access to and use of RAAV's website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you don't agree with any part of these Terms, please don't use our Services.

2. Account Registration & Eligibility

2.1 Eligibility

You must meet these requirements to use RAAV:

• Be at least 13 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable laws
• Not have been previously suspended or banned from RAAV

2.2 Account Responsibilities

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

2.3 Account Types

• Free Tier: Limited features for personal, educational, and non-profit use
• Pro Tier: Full features for individual professional use
• Team Tier: Collaborative features for teams and organizations
• Enterprise: Custom solutions with dedicated support

3. Use of Services

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes or personal use.

3.2 Acceptable Use

You agree to use RAAV responsibly. You may:

• Analyze your own code and repositories
• Generate insights and reports for your projects
• Share results within your organization (Team/Enterprise plans)
• Use our API within rate limits

3.3 Prohibited Activities

You must NOT:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble our Services
• Use automated systems to scrape or harvest data
• Resell or redistribute our Services without permission
• Use the Services to analyze code you don't have rights to
• Overload or interfere with our infrastructure
• Impersonate others or misrepresent your affiliation

4. Payment & Billing

4.1 Subscription Plans

Paid subscriptions are billed:

• Monthly: Billed every month on the date you subscribed
• Annually: Billed once per year (often with a discount)

4.2 Payment Processing

• All payments are processed securely by Stripe
• You authorize us to charge your payment method for all fees
• Prices are listed in USD and may vary by region (VAT/taxes may apply)
• We may change prices with 30 days' notice

4.3 Automatic Renewal

Your subscription automatically renews unless you cancel before the renewal date. We'll charge your payment method at the start of each billing cycle.

4.4 Cancellation & Refunds

• You can cancel anytime from your account dashboard
• Cancellations take effect at the end of the current billing period
• No refunds for partial months or unused portions
• Refunds considered on a case-by-case basis within 7 days of purchase

4.5 Failed Payments

If a payment fails, we'll attempt to charge your payment method again. After multiple failed attempts (typically 7 days), we may suspend or downgrade your account.

5. Intellectual Property

5.1 Your Content

You retain all rights to your code and content. By using RAAV, you grant us a limited license to:

• Process and analyze your code to provide Services
• Store your analysis results
• Use anonymized, aggregated data to improve our Services

We will never sell, publicly share, or claim ownership of your code.

5.2 Our Intellectual Property

RAAV's technology, features, functionality, and all intellectual property rights therein are owned by RAAV and protected by international copyright, trademark, and other intellectual property laws.

5.3 Trademarks

"RAAV" and our logos are trademarks of RAAV. You may not use our trademarks without prior written permission.

6. Privacy & Data Protection

Our Privacy Policy explains how we collect, use, and protect your personal information. By using RAAV, you also agree to our Privacy Policy.

6.1 Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

6.2 Data Processing

For EU and UK users, we process your data in accordance with GDPR. For California residents, we comply with CCPA. See our Data Processing Agreement for B2B customers.

7. Warranties & Disclaimers

7.1 Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We may suspend Services for maintenance, security, or other operational reasons.

7.2 "As Is" Service

7.3 AI-Generated Content Disclaimer

RAAV uses AI to analyze code and generate insights. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. Always review and verify analysis results before making decisions.

8. Limitation of Liability

Some jurisdictions don't allow certain liability limitations, so these may not apply to you.

9. Indemnification

You agree to indemnify and hold RAAV harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data uploaded to RAAV

10. Termination

10.1 Your Right to Terminate

You can stop using RAAV and delete your account anytime from your account settings.

10.2 Our Right to Terminate

We may suspend or terminate your account if:

• You violate these Terms
• Your account is used for fraudulent or illegal activity
• You fail to pay fees when due
• We're required to do so by law
• We discontinue the Services (with reasonable notice)

10.3 Effect of Termination

Upon termination, your right to use RAAV immediately ceases. We may delete your data within 30 days (subject to legal retention requirements). Sections that should survive termination (including IP rights, disclaimers, and limitations) remain in effect.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, please contact us at legal@raav.ai to try to resolve the issue informally. We're committed to working with you in good faith.

11.2 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

11.3 Arbitration

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

11.4 Class Action Waiver

You agree to resolve disputes on an individual basis only, and not as part of a class action or collective lawsuit.

12. General Provisions

12.1 Changes to Terms

We may modify these Terms at any time. We'll notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance.

12.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and RAAV.

12.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

12.4 Waiver

Our failure to enforce any right or provision in these Terms doesn't constitute a waiver of that right or provision.

12.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.

12.6 Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, pandemics, war, etc.).
